Terms and Conditions
1. AGREEMENT TO TERMS
These Terms and Conditions, together with any signed service agreements, constitute a legally binding agreement between you ("Client") and Kalin AI ("Kalin", "we", "us", or "our"), governing your access to and use of https://www.kalin.ai (the “Site”) and our services.
By accessing or using the Site or our services, you agree that you have read, understood, and accepted these Terms. Kalin AI reserves the right to update or change these Terms at any time. Any modifications will be posted on the Site, and continued use constitutes acceptance of the revised terms.
2. CLIENT ACCESS AND CLIENT DATA
Kalin AI grants the Client a non-exclusive, non-transferable license to access and use the Site and services solely for internal business purposes, limited to the number of users specified in the service agreement (default: five users, unless otherwise agreed in writing).
All data uploaded by the Client remains the property of the Client. By using our services, the Client grants Kalin AI a royalty-free, worldwide license to use, reproduce, display, and process such data as necessary to provide our services.
Note: Any models, adaptations, or insights derived by Kalin AI's AI systems while delivering services to the Client shall remain the property of Kalin AI.
3. INTELLECTUAL PROPERTY RIGHTS
All content and technology on the Site — including source code, software, designs, media, text, graphics, trademarks, and logos — are owned by Kalin AI or its licensors. These are protected under applicable intellectual property and unfair competition laws.
Clients may not:
1. Copy or modify the services or content
2. Reverse engineer or attempt to derive source code
3. Distribute, resell, sublicense, or exploit the services
4. Remove any proprietary notices
5. Use of our platform outside the scope of the access granted is strictly prohibited.
4. CLIENT REPRESENTATIONS
By using our services, you represent and warrant that:
->All registration info provided is accurate and current.
->You will update your information as needed.
->You will comply with these Terms and all applicable laws.
->You will not use the Site through bots or automated systems unless explicitly allowed.
->You will not use the Site for any illegal or unauthorized purpose.
->You have the required consent (such as TCPA-compliant opt-in) from contacts you ask Kalin AI to communicate with on your behalf.
Violation of these terms may result in account suspension or termination.
5. CLIENT REGISTRATION & SECURITY
To use certain features, you must register an account. You are responsible for maintaining the confidentiality of your login credentials and all activities under your account.
Kalin AI reserves the right to reject, remove, or alter usernames that are deemed inappropriate.
6. CONFIDENTIALITY
Each party may disclose certain confidential information to the other in the course of using or providing services. The receiving party agrees to:
-> Protect such information using reasonable care
-> Use it solely for fulfilling the agreement
-> Not disclose it to third parties except authorized personnel
-> This obligation continues for three (3) years after disclosure unless otherwise superseded by a signed NDA.
7. TERMINATION & CANCELLATION
Either party may terminate the services with written notice per the agreement. The Client remains responsible for payment of all scheduled services up to the date of termination.
8. PROHIBITED ACTIVITIES
Client may not access or use the Site for any purpose other than that for which Kalin AI makes the Site available. By using the Site, Client agrees not to:
-> Use any information obtained from the Site to harass, abuse, or harm another person.
-> Use the Site in violation of any applicable laws or regulations.
-> Upload or transmit viruses, malware, or any material that interferes with the functionality or enjoyment of the Site.
-> Engage in automated use of the Site, such as using scripts, bots, data mining, or scraping tools without written authorization.
-> Impersonate another user or attempt to use another user’s credentials.
-> Disrupt or overload the Site, its servers, or connected networks.
-> Harass or threaten Kalin AI staff or partners.
-> Attempt to bypass any access restrictions on the Site.
-> Copy or modify the Site's code or software (HTML, JavaScript, etc.).
-> Reverse engineer or decompile any software part of the Site.
-> Launch or distribute unauthorized scripts, crawlers, or offline tools.
-> Use the Site in any way that competes with Kalin AI’s business.
9. WARRANTIES AND WARRANTY DISCLAIMER
Kalin AI warrants that its services will be provided in compliance with applicable laws and free of malicious code.
EXCEPT AS EXPRESSLY STATED, ALL SERVICES ARE PROVIDED “AS IS,” AND KALIN AI DISCLAIMS ALL OTHER WARRANTIES — INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.
10. SUBMISSIONS
Client agrees that any ideas, feedback, or suggestions (“Submissions”) provided to Kalin AI in connection with the Site are non-confidential and shall become the sole property of Kalin AI. Kalin AI may use such Submissions for any lawful purpose without compensation or attribution.
11. PRIVACY POLICY
Kalin AI values your data privacy and security. Please review our Privacy Policy at https://www.kalinai.com/privacy-policy. By using the Site, you consent to data transfer and processing in accordance with that policy. Note: The Site may be hosted in jurisdictions outside your own, including the United States.
12. TERMINATION BY KALIN AI
Kalin AI reserves the right to restrict or terminate access to the Site at any time for any reason, including violation of these Terms. Terminated users may not re-register under any name or account. Legal action may be taken for violations of applicable laws or these Terms.
13. MODIFICATIONS AND INTERRUPTIONS
Kalin AI reserves the right to update, suspend, or discontinue the Site or any part of its services at any time without notice. We do not guarantee that the Site will be available at all times and are not liable for any downtime or loss of access.
14. GOVERNING LAW
These Terms are governed by the laws of the State of Delaware, without regard to conflict of laws. The United Nations Convention on Contracts for the International Sale of Goods does not apply.
15. DISPUTE RESOLUTION
Informal Negotiations:
Before filing a dispute, the Parties agree to attempt informal resolution for at least 30 days.
Binding Arbitration:
Disputes will be settled by arbitration through the American Arbitration Association in San Francisco, CA. Each party agrees to limited discovery and that the prevailing party may recover costs and legal fees.
Exceptions:
Intellectual property enforcement, privacy breaches, and injunctive relief claims are exempt from arbitration and may be resolved in court.
16. CORRECTIONS
Kalin AI reserves the right to correct typographical errors or inaccuracies on the Site at any time without prior notice.
17. LIMITATION OF LIABILITY
Kalin AI is not liable for indirect, incidental, or consequential damages, including lost revenue or data. In no event shall Kalin AI’s total liability exceed the amount paid by the Client in the six (6) months prior to the claim.

Each party agrees to defend and indemnify the other against third-party claims related to:

Breach of these Terms
Intellectual property infringement
19. DATA SECURITY / RESTRICTIONS ON USE
Kalin AI will implement reasonable administrative, technical, and physical safeguards to protect Client data. We will only use your data to provide our services and will not sell or share it except as required by law.
20. DATA BACKUPS
While Kalin AI performs regular data backups, Clients are solely responsible for maintaining their own data. Kalin AI is not liable for data loss. Clients can download their data at any time.
21. ELECTRONIC COMMUNICATIONS & SIGNATURES
By visiting the Site or communicating electronically, Client consents to receive notices, contracts, and disclosures via email or other digital means, including the use of e-signatures where applicable.
22. FORCE MAJEURE
Neither party will be liable for delays or failure to perform due to unforeseen circumstances beyond reasonable control (e.g., natural disasters, wars, cyberattacks).
23. MISCELLANEOUS
These Terms and any posted policies on the Site form the entire agreement. If any part of the Terms is held unenforceable, the remaining provisions will remain in effect. Kalin AI may assign its rights without notice.
